Analyst Agreement

Independent Contractor Agreement Between The Third Eye (Mauritius) LTD and Analyst
 
This Agreement is made between The Third Eye (Mauritius) LTD, a company incorporated under the laws of the Republic of Mauritius ("Company"), and the undersigned Independent Contractor Mystery Shopper ("Analyst").
 
WHEREAS, the Company specializes in providing customer service evaluations and undisclosed assessments of client businesses; and
 
WHEREAS, the Analyst agrees to provide such evaluation services under the terms and conditions set forth in this Agreement;
 
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
 
1. Nature of Work:
The Analyst will conduct covert visits to client establishments, accurately documenting and reporting factual experiences to the Company within specified timeframes via the Analyst's online dashboard. Failure to complete assignments accurately, maintain confidentiality, or submit timely reports will result in non-compensation.
 
2. Analyst Certification:
Before undertaking any visits, Analysts are required to successfully complete the Company's online certification program. Analyst eligibility for assignments is contingent upon obtaining necessary certification levels, with specific visits requiring corresponding certifications.
 
3. Unique Reports:
For multiple evaluations concerning the same client, distinct and separate reports are mandatory for each location visited, accompanied by corresponding receipts and any other requisite materials.
 
4. Locations & Transportation:
Analyst is accountable for all transportation expenses incurred during assignments. These costs will not be reimbursed by the Company unless otherwise specified. Analyst must maintain valid automobile insurance, the proof of which may be requested by the Company.
 
5. Payments and Reimbursements:
Assignment compensation and expense reimbursement details will be communicated prior to assignment commencement. Analyst must submit any reimbursement claims and supporting receipts within five days post-assignment. Payment for services rendered is processed approximately on the 28th day of the month following assignment completion. Analyst must ensure accurate and up-to-date banking information is provided to prevent payment delays.
 
6. Status of Analyst:
The Analyst is engaged as an Independent Contractor, not an employee. The Company is not responsible for withholding taxes, insurance, or any other protective benefits. Analyst is liable for adhering to tax obligations and maintaining appropriate insurance coverages.
 
7. Non-representation & Disclosure:
Analyst agrees to maintain the confidentiality of all proprietary information. Disclosing one's role as a mystery shopper or any related assignment details without express Company consent is strictly prohibited and grounds for immediate contract termination and forfeiture of compensation.
 
8. Conduct of Analysts:
Professionalism is expected at all times during assignments. Consumption of alcohol is limited to two beverages per individual when on assignment. Failure to adhere to this conduct code may result in non-payment and account deactivation.
 
9. Fraudulent Activity:
Accuracy and honesty in reporting are imperative. Fraudulent activity is subject to legal action and financial recovery of damages by the Company.
 
10. MSPA Code of Professional Standards and Ethics Agreement:
Analyst agrees to abide by the MSPA's ethical standards, which include executing assignments diligently, maintaining confidentiality, and adhering to reporting deadlines.
 
11. Legal Compliance:
Analyst affirms no criminal background and agrees to comply with all legal requirements, understanding that falsification in this regard is grounds for immediate contract termination.
 
12. Privacy Policy:
Analyst personal data will be handled in accordance with the Mauritius Data Protection Act, 2017, ensuring data security and privacy with strict usage limitations as outlined herein.
 
Amendment and Jurisdiction:
This Agreement is subject to periodic review and may be amended as necessary. The governing law is that of the Republic of Mauritius.
 
By engaging with The Third Eye (Mauritius) LTD, the Analyst acknowledges and agrees to the terms and conditions set forth in this Agreement. This policy is effective from March 1, 2024, and supersedes any prior agreements.
